Pact

Purpose of Pact. This Confidentiality Pact (the "Pact") establishes the terms and conditions for the recipient ("Recipient") to access and utilize confidential and proprietary information disclosed by the disclosing party ("Disclosing Party") in relation to the Transaction.

Definition of Confidential Information. Recipient acknowledges that it may receive confidential information through various means, including written, oral, or tangible forms. This information pertains to the Disclosing Party and affiliated entities involved in the Transaction. It encompasses, but is not limited to, financial data, business strategies, product details, customer information, intellectual property, and other proprietary materials (collectively, "Confidential Information").

Permitted Use and Constraints. The recipient agrees that the Confidential Information is provided solely for the purpose of evaluating potential collaborative opportunities with the Disclosing Party. Recipient undertakes not to utilize the Confidential Information for personal gain or to disclose it to any external parties. All Confidential Information shall be returned or eradicated upon the conclusion of the intended evaluation

Safeguarding and Non-disclosure. Recipient commits to adopting reasonable measures to protect the Confidential Information the recipient authorized access or disclosure. The recipient will not replicate or reveal the Confidential Information to any unauthorized parties except its legal advisors and employees who require such access for the intended evaluation

Pact Duration. The obligations established within this Pact remain in effect for a duration of 12 months, starting from the Effective Date.

Jurisdiction and Applicable Law. This Pact shall be interpreted and governed by the laws of the State of Virginia. Any disputes arising from or related to this Pact shall be subject to the exclusive jurisdiction of the courts of the State of Virginia.

Effective Date. This Pact comes into effect on the date when this Confidential Information is provided

By accessing or utilizing the Confidential Information provided by the Disclosing Party, Recipient acknowledges and accepts the terms and obligations stipulated within this Confidentiality Pact.
